ChezList Terms and Conditions

These Terms and Conditions (the "Terms") govern access to and use of the ChezList waitlist and reservations service (the "Service") provided by Chezlist Inc. ("ChezList", "we", "us", or "our"). Please read them carefully. By creating an account, or by otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Business" means a restaurant, bar, café, or other hospitality business that registers for a ChezList account to use the Service.
- "Guest" means an individual who joins a waitlist or makes a reservation through a Business using the Service.
- "Account" means a ChezList account registered by a Business.
- "you" means the Business and the individuals who access the Service on its behalf.
2. The Service
ChezList provides tools that allow a Business to operate digital waitlists and reservations, notify Guests, and manage related settings. We may add, change, or remove features of the Service at any time. Some features are available only on paid plans.
3. Accounts and eligibility
- To use the Service you must register an Account and provide accurate, current, and complete information, and keep it up to date.
- You must be at least the age of majority in your jurisdiction and authorized to enter into these Terms on behalf of the Business.
- You are responsible for all activity under your Account, including activity by your staff. This includes safeguarding login credentials and any staff access keys or passkeys used to access the Service.
4. Plans, fees, and billing
- The Service is offered under different plans, which may include a Core plan and one or more paid ("Pro") plans. The features, usage limits, and prices for each plan are those presented to you at the time of sign-up or purchase.
- Paid plans are billed on a recurring basis through our third-party payment processor (Stripe). By subscribing, you authorize us and our payment processor to charge your payment method for the applicable fees.
- Usage-based fees. Certain features may be billed based on usage, in addition to any recurring subscription fee.
- Auto-renewal. Paid subscriptions renew automatically for successive billing periods until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
- Taxes. Fees are exclusive of applicable taxes, which you are responsible for paying.
- Changes to fees. We may change our fees or plan limits on a prospective basis. We will provide notice of material changes, and changes take effect at your next renewal.
- Except as required by law, fees already paid are non-refundable.
5. Core plan
If you use the Core plan, it is subject to the usage limits presented at sign-up (for example, limits on the number of locations and waitlists). We may modify or discontinue the Core plan, or its limits, at any time.
6. Your responsibilities and acceptable use
You agree that you will, and will ensure your staff will:
- Use the Service in compliance with all applicable laws, including anti-spam and privacy laws (such as Canada's Personal Information Protection and Electronic Documents Act and Canada's Anti-Spam Legislation ("CASL"));
- Obtain and maintain all necessary consents from Guests for the collection, use, and disclosure of their personal information, and for sending them text messages or other communications through the Service;
- Provide Guests with any legally required privacy notices, and handle Guest information in accordance with applicable law; and
- Not misuse the Service, including by attempting to gain unauthorized access, interfering with its operation, reverse engineering it, reselling it without authorization, or using it to send unlawful, harassing, or unsolicited communications.
You are solely responsible for the accuracy and legality of the content and data you and your Guests submit through the Service.
7. Guest data and privacy
With respect to Guest personal information processed through the Service, ChezList acts as a service provider (processor) on behalf of the Business, and the Business is responsible for that information as described in our Privacy Policy. Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference. As between you and ChezList, you are responsible for your Guests' personal information and for your compliance obligations toward them.
8. Third-party services
The Service relies on third-party providers (including, for example, hosting, payment processing, and SMS delivery). Your use of those features may be subject to the third parties' own terms, and we are not responsible for their acts or omissions. SMS delivery may depend on mobile carriers and is not guaranteed.
9. Intellectual property
The Service, including its software, design, and content (excluding data you submit), is owned by ChezList and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the term of your subscription. You retain ownership of the data you submit, and you grant us the rights necessary to host, process, and display it in order to provide the Service.
10. Suspension and termination
- You may stop using the Service and close your Account at any time.
- We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to ChezList, other users, or third parties, or as required by law.
- Upon termination, your right to use the Service ends. We may delete your data following termination in accordance with our data retention practices described in the Privacy Policy. Sections that by their nature should survive termination (including Sections 9, 11, 12, 13, and 15) will survive.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that notifications will be delivered.
12. Limitation of liability
To the maximum extent permitted by law:
- ChezList will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service or these Terms.
- ChezList's total aggregate liability arising out of or related to the Service or these Terms will not exceed the greater of (a) the amounts you paid to ChezList for the Service in the three (3) months preceding the event giving rise to the claim, or (b) CAD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless ChezList and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or applicable law; or (c) your collection, use, or handling of Guest personal information, including any failure to obtain required consents.
14. Changes to the Service and these Terms
We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising out of or relating to these Terms or the Service, subject to any mandatory rights you may have under applicable law.
16. General
- Entire agreement. These Terms, together with the Privacy Policy and any plan terms presented at purchase, constitute the entire agreement between you and ChezList regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
